TERMS OF USE / END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("EULA") constitutes a binding legal agreement between you (the "User") and SongX Limited (herein referred to as the "Owner" or "Company") regarding the SongX application for mobile phones and digital devices (herein referred to as the "App").

By installing, accessing, or using the App, you agree to be bound by the terms of this license agreement. Your use of the App is strictly subject to the terms and conditions set forth in this EULA. If you do not accept the terms of this EULA, do not install, access, or use the App.

1. LICENSE

The App is licensed, not sold. The Owner grants you a non-exclusive, non-transferable, non-sublicensable, limited right and license to use one copy of the App for your personal use on a single device, subject strictly to your user tier (Free or Paid) as outlined herein. The rights granted are conditional upon your continuous compliance with this EULA. You acknowledge that no title or ownership in the App's core software is being transferred or assigned, and this EULA is not to be construed as a sale of any rights in the App's underlying technology.

2. RESTRICTIONS OF USE

Unless explicitly authorized by the Owner in writing, you shall not:

Make or distribute copies of the App or transfer the App from one device to another.
Decompile, reverse engineer, disassemble, deconstruct, or translate the App.
Modify, alter, adapt, or create derivative works based upon the App's interface, source code, or proprietary algorithms.
Rent, lease, resell, sub-license, assign, distribute, or otherwise transfer the App or this license to third parties.
Use any automated systems, scripts, software, robots, spiders, scrapers, crawlers, or data-mining tools to access, extract, download, harvest, or monitor any data, generated audio files, or content from the App, particularly for the purpose of training machine learning models, artificial intelligence, or building competing datasets (AI Model Distillation).

3. COPYRIGHT & INTELLECTUAL PROPERTY OF THE APP

You acknowledge that all title, ownership, and intellectual property rights in and to the App (including but not limited to software code, architecture, UI/UX design, text, graphics, and core AI model architecture) remain exclusively with SongX Limited. You will not acquire any rights to the App itself. You shall not remove or obscure the Owner's copyright, trademark, or other proprietary notices from any materials contained within or generated by the App.

4. DISCLAIMER OF WARRANTY

The App is provided "AS IS" and "AS AVAILABLE", without warranty of any kind. To the maximum extent permitted by law, we disclaim all express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, continuity of service, and non-infringement of third-party rights. The entire risk as to the quality, output, and performance of the App is with you. We do not warrant that the functions contained in the App will meet your specific aesthetic requirements or that the operation of the App will be entirely uninterrupted or error-free.

5. LIMITATION OF LIABILITY

In no event will SongX Limited, its directors, employees, or partners be liable for any special, incidental, indirect, punitive, or consequential damages resulting from your possession, access, use, or malfunction of the App. This includes but is not limited to loss of goodwill, device malfunction, lost profits, streaming revenue losses, or legal claims arising out of or related to this EULA, whether arising in tort (including negligence), contract, strict liability, or otherwise.

In no event shall the Owner's total liability for all damages (except as required by applicable law) exceed the actual amount paid by you to SongX Limited for the use of the App during the billing cycle immediately preceding the claim.

6. CHARGES & SUBSCRIPTIONS

The App is available on a freemium model. Downloading the App grants access to basic features. Additional features, high-quality audio generations, and extended capabilities ("Premium Options" or "Pro Plans") require In-App Purchases, including automated paid subscriptions.

Dynamic Credit System: The App utilizes an internal credit system to govern generations. The pricing, allocation, renewal rates, and limits of these credits are displayed dynamic-side within the signup screen or subscription marketplace. The Company reserves the unilateral right to adjust credit structures, allocation metrics, and pricing tiers at any time without updating the core text of this EULA.
Auto-Renewal: Subscriptions automatically renew unless auto-renew is disabled at least 24 hours prior to the end of the current billing cycle. Your designated marketplace account (Apple App Store or Google Play Store) will be charged for renewal within 24 hours prior to the end of the current period.
Subscriptions and auto-renewals are managed directly via your account settings on the respective app marketplace. Unused portions of a free trial period, if offered, are forfeited immediately upon purchasing a standard subscription. All fees paid are non-refundable.

7. CANCELLATION

If you subscribed to our Premium Options through a third-party mobile platform (Apple App Store or Google Play Store), you must execute cancellations directly through your account subscription management panel governed by that platform. All cancellations take effect at the conclusion of the active, paid billing cycle. No pro-rated refunds will be issued for mid-cycle cancellations.

8. SongX GENERATION — SPECIFIC PROVISIONS

The following provisions govern the specific creation, structural ownership, licensing, and distribution of AI-generated music content through SongX.

8.1 Content Creation and Responsibility

All music, lyrics, and audio compositions generated using SongX are algorithmically compiled with the assistance of artificial intelligence based directly on inputs provided by the User (including text prompts, specific parameters, style selections, and custom lyrics). The User assumes full, sole, and exclusive legal responsibility for the nature, context, and subsequent distribution of all generated content.

8.2 Ownership and Licensing Tiers

Paid Subscribers (SongX Pro): Users with an active Pro subscription own the intellectual property rights to the complete audio files (.mp3, .wav, or other formats) they generate during the precise period their Pro subscription is active. SongX Limited grants active Pro Users a perpetual, royalty-free, worldwide license to use, distribute, broadcast, monetize, and perform the songs they create for both personal and commercial purposes.

Crucial Ownership Exclusion: Songs generated while a user was on a Free tier remain the property of SongX Limited under Section 8.2 (Free Users). Upgrading to a Pro subscription does not retroactively transfer ownership or commercial rights of previously generated Free-tier songs to the user.

Free Users: All songs, audio data, and tracks generated by Free users remain the sole intellectual property of SongX Limited. Free users are granted a strictly limited, non-exclusive, non-transferable, revocable license for Personal Use only. Free users have no right to monetize, resell, or commercially exploit any generated content.

8.3 Definitions of Use

Personal Use: Includes private listening, sharing with close acquaintances in a strictly non-public setting, posting on personal social media channels that do not generate ad revenue or monetization, and integration into non-profit or educational activities that generate $0 total revenue.
Commercial Use: Includes integration into monetized social media channels (YouTube Partner Program, TikTok Creator Rewards, etc.), use within paid advertisements, digital streaming distributions (Spotify, Apple Music, YouTube Music, Amazon Music), usage in films, podcasts, video games, or any service, product, or performance offered for sale or generating any level of financial return. Commercial use requires an active Pro Subscription at the exact time of generation.

8.4 Copyright, Infringement, and Indemnification

SongX Limited does not provide copyright protection services, registry services, or legal warranties regarding the absolute legal originality of AI-generated content. You explicitly acknowledge that AI technologies generate outputs algorithmically and may inadvertently produce audio or lyrical segments resembling pre-existing copyrighted works.

User Indemnification Clause: The User assumes all legal and financial risks associated with the public distribution, commercial release, or streaming monetization of content generated via the App. If a User distributes a SongX-generated song and faces a third-party copyright strike, DMCA takedown, intellectual property claim, or litigation for plagiarism, SongX Limited is entirely exempt from liability. The User agrees to indemnify, defend, and hold harmless SongX Limited from any and all liabilities, losses, costs, or legal fees resulting from such distribution.

8.5 Automated Resource Optimization (Data Deletion)

To manage system loads and optimize cloud storage costs (e.g., server space, database hosting), SongX Limited reserves the absolute right to automatically, permanently, and irreversibly delete audio files, prompt records, and associated data generated by Free accounts after a period of dormancy or structural storage limits determined internally by the server configuration, without prior notice to the user. Users are solely responsible for downloading their generated tracks locally if they wish to preserve them.

8.6 Attribution Guidelines

Free users must provide clear, visible attribution whenever publicly sharing or uploading any audio created with the App. The mandatory text format is: "Created with SongX". Paid Pro subscribers are exempt from this requirement but are encouraged to provide attribution.

8.7 Prohibited Content and Misuse

Users must not use the App to generate, input, or distribute any material that:

Exploits, harms, or endangers minors in any capacity. Violations result in instant account termination and direct reporting to global law enforcement agencies.
Generates explicitly pornographic, obscene, or highly offensive audio content.
Incites violence, promotes terrorist agendas, or facilitates hate speech targeting protected demographics.
Intentionally replicates, clones, deepfakes, or infringes upon the specific, proprietary voice, vocal likeness, or unique trademarked branding of established commercial recording artists or public figures without express legal consent.
Defames, harasses, bullies, or intimidates any individual.

SongX Limited reserves the absolute right to monitor inputs, filter prompts, review generated audio outputs, and instantly terminate user accounts found in violation of these safety barriers without notice or refund.

Except for user ownership rights specified under Section 8.2 for active Pro subscribers, all core systems, sample loops, stock audio fragments, visual media, and assets provided inside the App are owned by or licensed to SongX Limited. Unauthorized reproduction or reverse extraction of these internal system assets is strictly illegal.

10. APPLE EULA MANDATORY PROVISIONS

If you downloaded the App via the Apple Inc. App Store or operate it on an iOS device, you acknowledge that this agreement is concluded between you and SongX Limited only, not with Apple. Apple is not responsible for the App or its core content. Apple has zero obligation to furnish maintenance or support for the App. In the event of any failure to conform to any applicable warranty, you may notify Apple for a purchase price refund; to the maximum extent permitted by law, Apple carries no other warranty obligations. Apple is not responsible for addressing your claims or third-party claims relating to product liability, legal non-conformance, or intellectual property infringement. Apple and its subsidiaries are third-party beneficiaries of this EULA, and upon your acceptance, Apple has the legal right to enforce this EULA against you.

11. MISCELLANEOUS & GOVERNING LAW

This agreement is governed by and construed in accordance with applicable corporate laws. If any provision of this EULA is held to be invalid or unenforceable, such provision shall be adjusted to the minimum extent necessary, and the remaining provisions shall remain in full force.
